Warunki prowadzenia sprzedaży
All business carried out by IC Control Ltd. is subject to the terms & conditions below. You must ensure these terms are understood, as you accept them by trading with IC Control.
IC Control Ltd will hereby be recognised in this document and any other documentation relating to the business as IC Control.
1. DEFINITIONS
In these terms and conditions the following words shall have the following meanings:-
“We”, “Us” or “Our” means IC Control Ltd
“You”, “Your” or “Customer” means the corporate entity, firm or person who accepts a proposal or service from IC Control for the supply of goods, services or contract.
“Goods” or “Services” means the products or service described in IC Control’s proposal, or if IC Control has not produced a proposal, in IC Control’s email, letter or text, accepting the customer’s order for the supply of any products or services.
“Products Sample” means the physical sample of a product supplied by IC Control, for the purpose of establishing an understanding of the product.
“Order” means the customer’s purchase order, email of acceptance or verbal acceptance.
“Conditions” means the terms and conditions set out in this document.
“Special Conditions” means any additional conditions agreed in writing between IC Control and the customer.
“Quotation” means the written quotation produced by IC Control for the customer.
 
The Seller may assign any of its invoices to the RBS Invoice Finance Ltd. This gives RBS Invoice Finance Ltd. the same status as the Seller, & the buyer accepts that it trades with the same terms & conditions with RBS Invoice Finance Ltd as it does with the seller. After any assignment, the seller retains all its rights with the buyer under these terms & conditions.
 
2. GENERAL
 
2.1 These conditions are the sole conditions under which WE offer products or services to YOU and these conditions shall apply to the exclusion of any other terms and conditions which YOU may wish to apply, including any terms which are included in the order.
 
2.2 In the event of a conflict between the conditions and any special condition WE may agree with YOU, the special conditions shall apply to the extent that they are inconsistent with these conditions.
 
 
2.3 WE will agree any variations of these conditions and any special conditions with YOU in writing prior to acceptance of YOUR order.
 
2.4 We will make every effort to ensure that any prices given are correct, However WE may correct any typographical, clerical or other omission in any sales literature, proposal, price list, acceptance of offer, invoice or other document or information issued by IC Control without any liability on the part of IC Control.
 
 
 
3. QUOTATIONS AND ORDERS
 
3.1 The quotation is open and valid for a period of 30 days only, form the date stated on the quote or from the date sent if in the form of mobile message or any other format, Provided that WE have not previously withdrawn it. VAT is included into the price stated in the quotation.
3.2 The quotation will have been based upon information that YOU gave to US upon a site visit or in a conversation taken place at the time of enquiry and may be subject to change if the product or service differs from the original enquiry. We reserve the right to charge for any additional parameters not identified at the time of enquiry.
 
3.3 WE can allocate to YOU on a provisional basis when YOU accept the quotation. However, the products will not be confirmed or guaranteed until WE have received an official Order or Acceptance from YOU.
4. INVOICING & PAYMENT -
4.1 If YOU cancel an order for products or services, WE reserve the right to charge you 100% of the full fee for the products or time lost if cancelled upon the date of supply or installation, or costs incurred in cancelling OUR order or rearranging of our diary.
4.2 We will invoice YOU at the completion of delivery, or at the completion of a part delivery, or at the time of completion of installation. Payment is deemed to be made when OUR bank account is credited with the amount due with cleared funds.
4.3 YOU shall make all payments hereunder in full without deduction, set-off or counterclaim whatsoever from, or against the same, except as required by law & regardless of any delays in delivery or performance or any corrections or adjustments that may be necessary to the Goods.
4.4 Where an order placed for goods or services includes a discount or free product(s) for whatever the reason, if any product from that order is returned to the seller, or no payment is received by YOU from US for that order in part or full, the discount value must be paid to the US & the free product returned to the US. All other of these terms & condition still apply.
4.5 OUR standard terms of payment are payment on completion of delivery or installation. Any changes to this must be agreed in writing by US in advance.
4.6 If any monies payable by YOU to the US are not paid when due or if the YOU are in breach of any of its obligations (whether under the Contract or any other agreement with the Seller) or becomes bankrupt, enters into liquidation, has an administrative order made in respect of it or suffers the appointment of a receiver to all or any of its assets, YOU shall immediately pay to US all monies payable by YOU under the Contract or any other agreement with the US (whether or not then otherwise due for payment) & without prejudice to any other remedy.
(a) WE shall have the following rights in respect of the Contract & every other agreement with YOU.
(I) To suspend or cancel the delivery of any further goods & any other performance by the US (& if suspended OUR time for performance shall be extended accordingly); (ii) to terminate all or any part of the Contract & any unexecuted contract with YOU. (b) YOU shall pay to US by way of full indemnity all costs of any nature incurred by the US arising from the breach by YOU (including, but not limited to, all legal costs on a full indemnity basis).
4.7 You shall pay interest (after as well as before judgement) on any monies payable by YOU to the US which are not paid when due at an annual rate of 4 percentage points above the base rate of Royal Bank of Scotland from time to time compounded with monthly rests calculated from the date of due payment until the date of actual payment. YOU shall indemnify US (after as well as before judgement & on as many occasions as necessary to indemnify fully US) against any loss or expense which WE may suffer in the event of any delay in payment or other breach of contract by reason of any change in currency exchange rates between the date payment fell due & the date payment is actually received by US & no proof or evidence of any actual loss shall be required by YOU.
 
4.8 YOU are not entitled to withhold any payment or to make any deduction from the invoiced amount in respect of any set-off or counter-claim.
 
4.9 WE are able to accept payment by Bank Transfer, Cheque, Cash or Debit and Credit Card (excluding AMEX). Debit and Credit Card payments may be subject to a 3.4% processing fee. Cheques are to be made payable to IC Control Ltd.
 
5. VARIATIONS IN PRICE. -
In the event of variation or suspension of work due to YOUR instructions, WE by written notice to WE may increase the price, by such an amount as it reasonably considers will fairly compensate for additional cost thereby incurred by it. WE, by notice to YOU at any time before delivery, may increase the price of the Goods to reflect any increase in the cost to US which is due to any factor beyond OUR control (such as, without limitation, any foreign exchange fluctuation, currency regulation, alteration of duties, significant increase in the costs of labour, materials or other costs of manufacture), any change in delivery dates, quantities or specifications of the Goods which is requested by YOU, or any delay caused by any instructions by the YOU or failure of YOU to give US adequate information or instructions.
6. DELIVERY. -
6.1Delivery of the Goods shall be made by YOU collecting the Goods at the OUR premises at any time after WE have notified YOU that they are ready for collection or, if some other place for delivery is agreed by US, by US delivering them to that place. Charges will be levied for delivery.
6.2 Whilst every effort will be made to adhere to any agreed shipment dates, such dates are not guaranteed & WE shall not be liable for any expense, loss or damage arising directly from any delay in shipment or delivery however caused. Late delivery shall not be grounds for rejecting Goods or Terminating the Contract.
6.3 YOU shall accept delivery of the Goods by instalments if WE so request.
6.4 If YOU, once notified the Goods are ready for despatch or collection, fail to accept delivery or make collection, or if the delivery programme is varied at the YOUR request, WE may invoice YOU for the Stated Price of those Goods (which the YOU shall pay as though the Goods had been dispatched or collected on the date of notification) ' may charge YOU for storage, insurance & all other expenses incurred by it in respect of those goods & risk in those Goods shall be treated as having passed to the YOU from the date of the Seller's notification.
6.5 If YOU fail to accept delivery fourteen days after being notified that the Goods are ready for despatch, WE may, at it's option & in addition to the above rights, treat this as a cancellation of the order with effect from the date the WE notified YOU that the goods were ready for despatch. In these circumstances clause 4.4 shall apply.
6.6 Where a contract provides for delivery by instalments, delays in or the non-delivery of any instalment shall not entitle YOU to cancel the Contract or reject any other instalment.
7. FORCE MAJEURE. -
If OUR ability to perform our obligations hereunder is limited, delayed or prevented in whole or in part by any cause not reasonably within its control, including without limitation, war, hostilities, riots, civil commotion, strike, lock-out, sit in, trade dispute, flood, accident to plant or machinery, shortage of any material, labour, electricity or other supply or by any law, rule, regulation, order or other action of any public authority, transportation delays or the refusal or delay in granting any necessary export or import licence, WE shall be excused , discharged & released without penalty from performance of the Contract to the extent that such performance is so limited, delayed or prevented. If the Goods or any part thereof has been delivered, YOU shall pay to US a proportion of the Stated price appropriate to the Goods that have been delivered & the amount (if any) of the installation work carried out. If no equipment has been delivered & the Contract becomes impossible to perform for reasons not reasonably within the OUR control, OUR liability shall be limited to repayment to YOU of any relevant sums paid by him to US.
8. RISK -
8.1 Risk of damage to, or loss of the Goods, shall pass to YOU: (a) in the case of Goods to be delivered at the YOUR premises, at the time when YOU notify US that the Goods are available for collection; or (b) in the case of Goods to be delivered elsewhere, at the time of delivery or, if YOU wrongfully fail to take delivery of the Goods when WE have tendered delivery of them.
8.2 WE shall not be obliged to give the notice required by section 32(3) of the Sale of Goods Act 1979, or any notice of intended despatch.
8.3 It shall remain the responsibility of YOU to ensure that any electrical works carried out by US at YOUR premises or a premises the WE are instructed by YOU to carry out electrical works on, are tested, inspected and certified by a qualified electrician or electrical company. WE shall not be held responsible for notifiable works, nor shall WE undertake such works knowingly or otherwise. Where works that WE undertake fall under the category of “notifiable” under current legislation, and we have agreed to undertake these works, WE will take all possible actions to ensure that this work is signed off by a qualified professional body. The costs of which will be passed across to YOU and will fall under the same conditions as those on the original quotation or invoice.
9. PROPERTY -
9.1 Notwithstanding that YOU obtain possession of the goods, the legal & equitable title will remain with US until payment has been received from YOU of the Stated Price in full with all fees and charges thereon & all other monies that may be or become payable from YOU to US in relation thereto. Until such time YOU shall hold such goods as bailee in a judiciary capacity for US & shall store the Goods in such a way as to show clearly that they are the property of the Seller & the Seller shall be entitled to require US to deliver such Goods or any of them to it on demand, & if YOU fail to do so forthwith, to enter OUR premises for the purpose of collecting them (to include, without prejudice to the generality of the foregoing, the dismantling of any item into which such Goods have been incorporated) & YOU shall be responsible for all OUR costs with so doing whether the subject of this Contract or any other contract for which payment has not been made.
9.2 YOU shall not be entitled to pledge or in any way charge by way of security for any indebtedness any of the goods which remain the property of the Seller, but if YOU do so all moneys owing by YOU to US shall (without prejudice to any other right or remedy of US) forthwith become due & payable.
9.3 YOU may however, subject to sub-clause 10.4 below, use or sell such Goods by way of bona fide sale in the ordinary course of its business on its standard terms & conditions by way of sale as principal (not as agent) but that the sale will constitute a sale by You of OUR property & accordingly YOU will account to US for the proceeds of sale or otherwise of the Goods, whether tangible or intangible, including insurance proceeds, up to the total amount outstanding in respect of such Goods & pending such accounting will keep all such proceeds separate from any monies or property of YOU & third parties, & in the case of tangible proceeds, properly stored, protected & insured, & hold the same on trust for US.
9.4 In any event, WE, (without prejudice to any other rights or remedies available to it) may without notice terminate all or any part of the Contract or suspend or cancel deliveries thereunder & shall have a general lien on all YOUR Property then in YOUR possession (whether as consignee or otherwise) in respect of any sums which may be owing by the YOU to US on any account whatsoever &, on the expiration of fourteen days’ notice, the Seller shall be entitled to dispose of the same & apply the proceeds towards satisfaction of such sums.
9.5 WE shall be entitled to apply payments received from YOU in satisfaction of whichever invoice or part thereof as WE shall in OUR absolute discretion decide & shall be entitled to vary such application as many times as it shall desire until such time as all sums owing by YOU to US have been paid.
10 GUARANTEE-
10.1 Subject to the conditions set out below WE warrant that the Goods will correspond with their specification at the time of delivery or installation & will be free from defects in material or workmanship, for a period of 12 months from the date of delivery. OUR liability for breach of warranty shall be limited solely to replacing or repairing without charge, the defective goods or parts thereof. THIS GUARANTEE DOES NOT EXTEND TO CARRIAGE REFUNDS OF ANY DESCRIPTION. IT IS AT YOUR RESPONSIBILITY & COST TO RETURN ANY SUSPECTED OR ACTUAL FAULTY GOODS BACK TO THE US. WE MAY AT ITS DISCRETION RETURN THE GOODS BACK TO THE BUYER WHEN REPAIRED OR REPLACED WITH NO RETURN CARRIAGE CHARGE.
10.2 The above warranty is given by US subject to the following conditions: (a) YOU shall notify US of the defect(s) in writing or by telephone within 7 days of the relevant defect becoming apparent; (b) if requested by US, YOU shall have returned such defective goods or parts suitably packaged & at YOUR risk describing the circumstances in which such Goods or parts became defective; (c) such defect shall have been proved by YOU to be attributable to US & have arisen solely from the design of materials/workmanship; (d) WE shall be under no liability in respect of any defect in the Goods arising from any drawing or specification supplied by YOU; (e) WE shall be under no liability in respect of any defect arising from fair wear & tear, wilful damage, negligence, abnormal working conditions, failure to follow OUR instructions (whether oral or in writing), misuse, alteration or repair of the Goods without the OUR approval; (f) the above warranty does not extend to parts, materials or equipment not manufactured by US, in respect of which YOU shall be entitled only to the benefit of any such warranty or guarantee, as is given by the manufacturer to US; (g) YOU have performed YOUR obligations hereunder; (h) before returning the Goods to US, YOU shall obtain a returns number, which shall be quoted when the Goods are returned.
10.3 Subject as expressly provided in these conditions & except where the Goods are sold under a consumer sale (as defined by the Sale of Goods Act 1979) all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law.
10.4 The guarantee shall apply only to YOU. Where Goods are sold under a consumer sale (as defined by the Sale of Goods Act 1979), YOUR statutory rights are not affected by these conditions.
10.5 WE shall not be liable to YOU by reason of any representation, or implied warranty, condition or other term, or any duty at common law, or under the express terms of the Contract, for any consequential loss or damage (whether for loss or profit or otherwise), costs, expenses, or other claims for consequential compensation whatsoever (& whether caused by the negligence of US, our employees or agents or otherwise which arise out of or in connection with the supply of the Goods or their use or resale by YOU, except as expressly provided in these conditions.
12 PRODUCT LIABILITY -
12.1 YOU shall use all responsible endeavours to ensure that the Goods are operated in accordance with the instruction manuals supplied with the Goods & shall provide all relevant personnel with the necessary training in respect of the Goods.
12.2 YOU shall ensure that all warnings displayed on the Goods or the packaging, at the time of delivery or installation, shall not at any time be removed, defaced or otherwise obscured & further YOU shall contractually pass such obligation to any third party recipient of the goods.
12.3 YOU shall indemnify US against any loss suffered as a result of YOU being in breach of any part of this term.
 
13 RESPONSIBILITY -
WE shall not be liable to YOU, or any person claiming through YOU, for damage to any of the YOUR property in possession of the Seller (whether as consignee or otherwise) or for any injury caused to any person by such property by reason of any cause beyond the reasonable control of the Seller.
14 CONFIDENTIALITY -
YOU shall not at any time disclose or (save for operation of the Goods) use any confidential information or knowledge as to methods of manufacture, plans, drawings, price lists, documents or other information relating to the Goods or US.
15 DELEGATION -
WE may delegate OUR performance under the Contract & may assign any of its rights or benefits thereunder.
16 NOTICE -
Any notice hereunder shall be in writing & effectively given if delivered to the office of the addressee normally used for communications relating to the Agreement or last known to the sender.
17 INTERPRETATION -
All contracts hereunder shall be governed & construed in accordance with English Law. The Buyer irrevocably submits to the non-exclusive jurisdiction of the English courts.
18 HEADINGS –
The headings of these Conditions are for convenience only and shall have no effect on the interpretation thereof.
